TRUST DEED
This deed of Trust of MS Social Welfare Trust executed on this 22th Sep, 2022 by Mr. Manoj Singh resident of Rdc, Raj Nagar, Ghaziabad, Uttar Pradesh, 201001. India hereinafter called the Settler / Author of the Trust which expression unless repugnant to the context or meaning thereof includes their heirs, executors, and administrators, etc., whereas Settler of the Trust are possessed of and otherwise well and sufficiently entitled to the sum of Rs.10,000/- (Rupees Ten Thousand only) hereinafter referred to as said property.
Whereas the Author of the Trust desire to irrevocably endowing the said funds upon trust for spiritual work, public, and cultural, purposes, as hereinafter expressed and contained in this presents and in pursuance of such desire have already transferred paid and handed over the said property to the Trustees mentioned below. WHEREAS it is the desire of the Author of the Trust that the Corpus of the Trust may be further augmented from time to time by flow of funds and other assets including moveable and immovable and any other kind by way of Gifts, or Donations, acquisitions, allotments, grant exchange or otherwise etc.,
WHEREAS the following persons are appointed to be Trustees for holding the said property in Trust for the purposes detailed in this Trust Deed:

- Mr. Rahul Goel S/o -------------, Vijay Nagar, Sector-9, Ghaziabad, Uttar Pradesh, 201009.
- Mrs. Vinod Kumar S/o -------------, Laxmi Nagar, Delhi-110092.
NOW THIS DEED OF TRUST WITNESSETH HAS FOLLOWS:
1. NAME : The Trust hereby established shall be named as:
“MS Social Welfare Trust”
2. Registered Office Address: - RDC, Raj nagar, Ghaziabad Uttar Pradesh, India, or at such other place in India as the Trustees may from time to time think fit. Administrative and branch offices can be opened anywhere in the country wherever board of Trustees may think fit and proper from time to time.
3. OBJECTS: The objects for which the Trust is founded are:
The main thrust area of activities and objectives of the trust shall be to serve the society at large by making available to them higher and technical education training and also all the basic needs of a person to lead a normal life at cost affordable to the general public of the society and also to engage in various social area of activities as providing relief to victims of different natural calamities and in general to minority and exploited classes of people without any motive to make any profit or to have any other form of gins by doing so.
Without affecting the generality of above mentioned objectives, the specific objectives to be achieved and activities to be undertaken are:
3.1 To Promote Clean Environment of the society.
3.2 To Promote development of rural areas and rural development.
3.3 To provide vocational education to the poor students at lower cost or free of cost and conduct women empowerment programme for the benefit for them.
3.4 To provide micro finance facility to poor persons, small business man at lower cost.
3.5 To provide all types of medical facility to general public or poor people’s free of cost or at lower cost.
3.6 To arrange and promote research in art, science, technology Medicines, herbal, agriculture, computer, Fine arts, Crafts, Music, Painting, Modeling, Dancing, Yuga, Physical Education and in other professional training and other subject of general public utility.
3.7 To Provide good food quality and promoting awareness about it.
3.8 To promoting and awareness about Good Hygienic food.
3.9 To promote a realistic paradigm for human excellence, through seminars, conferences, workshops, training programs, publications and various other mediums.
3.10 Science knowledge increase in remote and rural schools through building collection of books, periodicals and training.
3.11 Taking up renewable energy projects including hydro with integrated approach, development of locals through science.
3.12 To provide solar energy facility to general public or poor people’s free of cost or at lower cost.
3.13 Local economic conditions improvement through use of science and knowledge.
3.14 To provide relief to the victims of natural calamities and also to supports financially or otherwise to minority and exploited class of public without any discrimination on the basis of caste, sex, religion or locality.
3.15 To propagate, impart and adopt any audio-visual methods or printed literature for inculcating moral values, character building and health awareness in the public at large.
3.16 To Creative, maintain and supply of Gardens, Benches, Gymnasiums, Physical and Cultural centers and other means of public recreations for advancement of sports, health and hygienes.
3.17 Grant of subscriptions and donation to Ayurvedic Aushadalaya, Homeopathic and Naturopathy Hospitals, Dispensaries, Convalescent Homes, Asylums, Orphanages and other Public Institutions or Funds for administering medical relief to the needy upon such terms and conditions and for such period as the trustees may thing fit.
3.18 Distribution of free water, food and clothing to the poor and needy and to establish and maintain goshallas and water huts.
3.19 To provide food, medical aid, shelter and in general for the welfare of the underprivileged children.
3.20 Contributing to National Funds, Draught Relief Funds and/or any other funds for benevolent objects.
3.21 To educate people for removal of social evils, customs or render, promote self help to overcome any of these evils.
3.22 To reserve or conserve natural resources.
3.23 To communicate with the Government, Local Public Authorities, Trade Associations, Resident Welfare Association, Chamber Of Commerce, NGO’s or any other associations of the citizens of India or other countries on all subjects connected with the activities of the trust.
3.24 To organize meetings, seminars, conferences, discussions and to publish books, leaflets, periodicals and other publications for circulating them for the furtherance of any of the objects of the trust.
3.25 To promote physical, mental and spiritual health.
3.26 To advocate for creation, development and implementation of national and international health policies, programmes and laws.
3.27 To undertake projects directly involved in creation, development and implementation of national and international health policies, programmes and laws.
3.28 To assist governments, international bodies and civil society organisations in promotion of physical, mental and spiritual health.
3.29 To establish/acquire, maintain and support health centres, hospitals, nursing homes, maternity homes, mental hospitals, counselling centres, child guidance clinics, halfway homes for mentally ill, hospices, homes for terminally ill, diagnostic centres, mobile clinics and such other institutes and establishments which would promote health as well as prevent and treat illnesses.
3.30 To undertake activities and programmes to promote health, including but not limited to community health projects, projects focussing on specific health issues, awareness programmes, training programmes, health camps, blood donation camps, diagnostic and treatment camps.
3.31 To promote traditional therapies, like Yoga, Naturopathy, Meditation, Acupressure, Acupuncture, Ayurveda etc.
3.32 To promote formal and non-formal education at various levels like primary, secondary, higher secondary, technical and professional levels.
3.33 To promote right to education of all sections of the population.
3.34 To conduct research and advocacy, for reformation and development of education policies, laws and programmes at national and international levels.
3.35 To address the education needs of the poor and weaker section of the society by undertaking appropriate programmes.
3.36 Establishment and/or acquisition, maintenance and support of Government Universities, Deemed Universities, Open University Schools, Colleges, Schools (pre-primary, primary, secondary, higher secondary), Study Centers, and other Institutions for imparting education and training to students.
3.37 Establishment, maintenance and support of hostels and/or boarding houses for the purpose of providing boarding lodgings to students, upon such terms, as the Trustees may deem fit.
3.38 Providing grants of endowments to universities, research institutions and other education and scientific institutions (where now existing or hereafter established), for spreading of education and knowledge in all or any branch of knowledge.
3.39 Granting scholarships and, fellowships and/or grants (by way of loans or otherwise), to undertake and encourage research (or other work) in any subject, on such terms and conditions as the Trustees may think fit. Such scholarships and fellowships shall be awarded to deserving students and scholars who cannot afford or have no means to undertake such research or higher studies.
3.40 To promote adult education.
3.41 To promote protection of environment and ecological balance.
3.42 To undertake and support appropriate research studies, towards protection of environment and promotion of ecological balance.
3.43 To advocate for policies, laws and programmes at national and international levels for promotion and protection of environment and ecological balance.
3.44 To undertake and support programmes and projects towards protection of environment and ecological balance.
3.45 To work towards socio-economic development of weaker, poorer or marginalised sections of the society.
3.46 To advocate for creation, development and implementation of policies, laws and programmes for the socio-economic development of poorer, weaker or marginalised sections of the society at national and international levels.
3.47 To undertake projects directly involved in creation, development and implementation of policies, laws and programmes for poorer, weaker or marginalised sections of the society at national and international level.
3.48 To assist Government, international bodies and civil society organisations in promotion socio-economic development of weaker, poorer or marginalized sections of society.
To initiate innovative projects for the socio-economic development of poorer, weaker or marginalised sections of society.
3.49 To Undertake and support programmes, projects and activities for development of rural areas and rural population.
3.50 To advocate for policies, laws and programmes for management of man-made and natural disasters at national and international levels.
3.51 To undertake and support programmes for effective disaster management.
3.52 To provide financial and other necessary support to areas and populations affected by natural and manmade disasters.
3.53 To promote literature, music, dance, theatre, photography and other forms of fine arts and forms of artistic expressions.
3.54 To promote traditional handicrafts, handlooms and textiles.
3.55 To organize music and dance concerts, theatre festivals, exhibitions, art festivals, book fairs, film festivals, etc.
3.56 To undertake and support research towards promotion and conservation of various art forms.
3.57 To establish awards for deserving artists.
3.58 To support aging artists and their families and budding artists.
3.59 To establish scholarships for deserving artists to help them achieve higher standards of artistic expression or to conduct research in the field of art.
3.60 To establish educational and research institutes or centres to promote various art forms.
3.61 To establish residential and non-residential cultural centres for promoting Music, Dance and other Arts.
3.62 To provide financial and in-kind support to-
(a) Needy students
(b) Patients in need of medical treatment
(c) Disabled individuals
(d) War victims
(e) Victims of terrorism
(f) Other needy individuals
3.63 To give aid to deserving, needy or poor persons in the shape of money, clothing, and/or food or providing them with lodging or residential facilities.
3.64 To work for the welfare and upliftment of disabled individuals.
3.65 To publish books, magazines, journals, periodicals, research papers, charts, and other IEC (Information, Education and Communication) materials for the purpose of promoting the objectives of the Trust.
3.66 To develop audio-visual material including but not limited to films, short films, animation films for the promotion of objectives of the Trust.
3.67 To raise funds from individuals, charitable organisations, donor organisations, United Nations Bodies, Governments & Government bodies.
3.68 To raise funds through various fund raising activities including, fund raising drives, cultural programmes, charity shows, charity meets and other innovative methods.
3.69 Provide grants, donations and other forms of funding to individuals, non-governmental organisations, civil society organisations, charitable organisations, government bodies, United Nations Bodies, communities, educational institutes, training institutes, research organisations and other deserving organisations and groups, on terms and conditions as Trustees may deem fit.
3.70 To promote and protect human rights.
3.71 To undertake or support training programmes towards achieving the objectives of the Trust.
3.72 To undertake research and scientific enquiry to achieve the objectives of the Trust.
3.73 To undertake or support the repairs, conservation and care of historic buildings, heritage sites and locations.
3.74 To promote various sports at national and international levels.
3.75 To support established and budding sportspeople for excellence in sports.
3.76 To establish or support or manage institutes/centres for promotion of sports including, but not limited to stadia, sports academies and sports complexes.
3.77 Organise sports events to promote various forms of sports at national and international level.
3.78 To construct establish, run, promote, finance and/or support - health care centres, charitable dispensaries, hospitals, community halls, public toilets, gymnasiums, night shelters, old age homes, home for destitute, libraries, reading rooms, resource centres, playgrounds, stadia (both open and indoor), music and dance training centres, Anganwadis, women’s shelter, crèches, orphanages, hospices, halfway homes, homes for terminally ill, studios, theatres, and other buildings or institutions for the welfare of public, and to achieve objectives of the Trust.
3.79 To identify disadvantaged or marginalised individuals, groups and communities which may benefit from social, economic, legal and emotional intervention and undertake or support appropriate activities, projects and programmes for them.
3.80 To open, found, establish, promote, set-up, run, maintain, assist, finance, support or help the various community development programmers/activities and also construct and develop the community Halls, Barat Ghar / Marriage Home Dharamshala, night shelters, sulabh shochalay, old age home, health care centers, charitably dispensaries hospital, libraries reading rooms playgrounds, stadium (both open and indoor), yoga training centers, Gymnasiums, sangeetalay and Nrityalay {music and dance training center}, Anganwari, Mahila ashrams, Palan Ghar, Nari Niketan, Orphanage, Leprosy Centers, studios, Drama stage and other buildings and the Institutions for the upliftment and betterment of the members of the society and for the general welfare of the general public, in all over India.
3.81 To provide information and education/useful knowledge and medical advise to the general public regarding the services of the trust {like smoking of cigarette, smoking of bidi, use of alcohol and AIDS} through holding awareness camps programs for dedications and also organize the lectures by expert team of doctors, journalists and other learned persons. Provided that the income as well as the corpus shall be applied only towards public charitable purposes as aforesaid and accumulation of income, if any, shall also be made and deemed to be made for applications to such public charitable purposes as aforesaid.
3.82 To raise funds through donation, grants, loans etc. from foreign Institutions/organizations such as UNICEF, WHO, NEPA, and other organization etc. for fulfillment of aims and object of the trust as per law and government rules in force.
3.83 To promote awareness about mental, social, physical and spiritual health.
3.84 To assist the needy in accessing the rehabilitation or habilitation facility for better quality of life.
3.85 To provide medical care to physically and mentally ill/challenged people.
3.86 To establish center to provide medical facility, rehabilitation facility and referral services.
3.87 To conduct various awareness camps and programmes to nullify myths related to illnesses and to promote awareness and access to medical facilities.
3.88 To promote all natural ways of obtaining health.
3.89 To establish, run and manage hospitals providing treatment for medical & mental illnesses.
3.90 To provide basic medical facility, sanitation, general health care and other needful support which can be helpful for public to overcome sufferings and agony of any natural and manmade disaster and to facilitate them to rehabilitate.
3.91 To explore ways for promotion of socioeconomic development in the community.
3.92 To work for the welfare of socially neglected people.
3.93 To protest and fight against the injustice against people.
3.94 To encourage and promote family welfare activities among needy people.
3.95 To arrange and provide medical aid and other assistance necessary for living to the needy people who are incapable or handicapped or mentally/physically retarded and financially unfit.
3.96 To start and assist the relief measures in those parts of the country which become effected to natural calamities like famine, fire, flood, earthquakes etc.
3.97 To communicate and coordinate with the Govt. Local and public authorities on various issues related to development welfare and public interest on different subjects.
3.98 To construct, maintain, alter, improve or develop any building belonging to the society or works necessary or convenient for purpose of the society.
3.99 To establish and manage networking of voluntary and non-governmental organizations.
3.100 To fight against HIV/AIDS and other communicable diseases.
3.101 To aware people about various social issues to fight against evils.
3.102 To issue appeals raise funds and accept gifts, donation subscriptions in cash or in kind and any property either movable or immovable for the achievement of the objective of the society.
3.103 To acquire, purchase or otherwise own or under take on loan or lease or hire temporality or permanently and movable or immovable property necessary or convenient for the furtherance of the objects of the society.
3.104 To organized and take-up Health, Educational and Welfare programmes for needy & poor Women & Children.
3.105 To support the families and relatives of artists for promoting the budding artists in the society;
3.106 To establish an award for the deserving people in the field of Music, Art, Sports at grass root level social service, communal harmony, brotherhood and peace.
3.107 To encourage the emerging artists, Sports persons and their talents so that they can get proper recognition within and beyond the country.
3.108 To establish centre(s) for the promotion of Music, Dance and other Arts.
3.109 To establish residential and non-residential cultural centers for promoting Music, Dance and other Arts.
3.110 To work for Environmental Protection, Forestation, Plantation, Waste Land Management.
3.111 To organized vocational training for women and needy people.
3.112 To organized awareness camps, health camps, March, workshops, campaign and exhibition.
3.113 To aware people about their democratic & fundamental rights.
3.114 To advocate Panchayti Raj system among citizens.
3.115 To provide various medical services such as organizing health and awareness camps of Immunization, Eye Care, Motherhood, Child Care, and Communicable Diseases.
3.116 To prevent any epidemics and to advocate both permanent and temporary measures of Family Planning.
3.117 To provide medical, emotional, psychological, social and medical support to senior citizens of our society by setting up various drop-in centres, senior citizen homes, old-age homes and other entertainment centres so that these highly honorable people should not be neglected.
3.118 To undertake activities for sensitizing people to preserve the natural resources of our nation and to maintain the ecological balance of the area.
3.119 To provide and facilitate legal assistance to underprivileged and poor section of society to fight for their rights and justice.
3.120 To promote, encourage and facilitate research programmes and trainings in the field of public health, education and empowerment.
3.121 To arrange and organize religious, social and cultural programmes for all human being from time to time.
3.122 To create a sense of brotherhood, love, humanity, affection, cooperation and friendship amongst the members of the society and the beneficiaries.
3.123 To make best efforts for promotion, development and protection of the beneficiaries/ target population and help them in distress.
3.124 To help poor, widows, handicapped, orphans, old aged, mentally retired and under privileged section of the society/community.
3.125 To run the different types of health programmes to raise the health status of vulnerable groups, poor and needy.
3.126 To work for the empowerment and sensitization of women, adolescents and children.
3.127 To make up efforts for the education, welfare and development of women, children and backward community in both urban and rural areas throughout the country.
3.128 To establish the medical facilities in the working locality (if required) such as family planning centers, dispensaries, hospitals etc.
3.129 To run and open the schools for the welfare and uplift of the needy children and also run adult education programmes.
3.130 To open administrative, branch and correspondence office anywhere in the country to run the trust activities smoothly. Presently head administrative office is situated at A-37, Sector-48, NOIDA, Uttar Pradesh
3.131 To work and fight against discrimination based on Cast, Creed, Colour, Gender, Religion, Faith, Race & Nationality.
3.132 To open / run / manage institute / collage of higher / professional / vocational education in any part of the country for providing quality education and training to youth and children.
3.133 To promote and protect natural herbs and plants by cultivation, preservation, storage, processing, demonstration, creating botanical garden and providing necessary training.
3.134 To establish, build or manage Hostels, Short Stay Homes, Rehabilitation Centers, Shelters, Crèches, Child Care Centre or Children’s Home, Counseling Centers and Help Line Centers for Women, Children, Old aged persons, Drug addicts and needy persons.
3.135 To work for the welfare of Agricultural workers, Farmers, Unorganized Labourers, Industrial Labourers and Migrated Labourers.
3.136 To form women groups, youth groups, self help groups; old aged groups, adolescent groups, children groups/clubs, community leaders groups and group of volunteers.
3.137 To promote traditional games along with the contemporary sports among youth & others.
3.138 To work for welfare & support for the families of Martyrs and Prisoners.
3.139 To work against the exploitation of Animals & Birds and make sincere efforts to protect them.
3.140 To celebrate annual day of the trust every year as cultural & social event.
3.141 To establish Citizen Forum (s) and Resident Welfare Association (s) for the development of high values of the Unity, Brotherhood, Communal Harmony and Peace.
3.142 To promote and support voluntary donation of Blood, Eyes and other parts of human body for the charitable purpose.
3.143 To take-up, initiate or assist social development activities or welfare programmes for bringing positive change in the lives of the common people.
3.144 To save or protect National Heritage, Buildings or Places of the archeological & historic importance.
3.145 To spread the teachings & thoughts of great leaders, philosophers, thinkers, reformers and saints.
3.146 Grants of subscription and donation to any Institution engaged in Public utility services such as Lions Club, Rotary Club, etc.
3.147 Subscription, contribution, and/or donations to any public charitable trust or Funds or institutions for promotion of any of the aforesaid objects.
3.148 Subject to the provisions of any mandatory law for the time being in force and applicable to the trust, the trust shall invest the surplus and unapplied portion of the said income arising in any or more year or years in accordance with any mandatory provisions of section 11(5) of The Income Tax Act.
3.149 To make any amendments in the provision of these presents as the members may be required to make by the Income Tax authorities as a condition for recognizing that trust for the purposes of section 80-G and 11 of the income Tax 1961 of any statutory modification on reenactments there of for the time being in force but without prejudice to the main objects of the trust (A) provided that no such amendment shall be valid unless approved by all the trustees for the time being by a unanimous resolution passed at their meeting (B) provided that the members may in their absolute discretion decide not to seek or avail of the benefit of the said sections and consequently they may not make any amendments suggested by the income tax authorities.
3.150 None of the powers enumerated above will be deemed to authorize the carrying on of any activity for profit by the trust and these powers shall be exercised by the members in such manner that the income of the society will be totally exempt from tax under sections 11 12 and 13 of the Income Tax Act, 1961 and such other sections or clauses as amended from time to time.
3.151 AND GENERALLY to do in all public, charitable purposes for public benefit without any discrimination of Caste, Creed, Color, Gender, Religion, Faith, Race or any Nationality. That in case any of the objects of the Trust are held to be non charitable within the meaning of section 2 (15) of the Indian Trust Act, or any statutory modification (s) thereof, the Trustee (s) shall not carry out such objectives.
4. NUMBER OF TRUSTEES:
The number of Trustees including the Author of the Trustees shall not be less than Two (2) and not more than Seventeen (17) persons. The Board of Trustees shall nominate and invite person/persons to be the other trustees for such period, as they may deem fit and proper. At present following would be composition of board of trustees:

5. TERM OF OFFICE OF THE TRUSTEES:
These Trustees shall hold office for such duration as may be specified by the board of trustees.
6. CHAIRPERSON:
There shall be a Chairperson for the administration of this trust, nominated by the board of Trustees, who shall be one amongst trustees as specified in Para (4) above for such period, in such manner as may be specified in this behalf.
7. Secretary / MANAGING TRUSTEE:
(i) The day-today administration of the Trust shall be looked after by the Secretary / Managing Trustee under the guidance, control and supervision of the Board of Trustees.
(ii) The Board of Trustees shall nominate one amongst the trustees as specified in Para (4) above to be the Managing Trustee, who shall hold office for such period, as may be decided by the Board of Trustees.
(iii) The Managing Trustee shall perform all functions, discharge such duties as or specifically entrusted to him/her in writing by the Board of Trustees.
8. TREASURER
He / She will collect subscription, gift, grant in aid and donations from the individuals, social agencies, corporate, government agencies, international organisations and the general public and he will also be responsible for keeping and maintenance of true and correct account of the Trust funds. He / She have the right to keep Rs. 5000 with him / her for the cause of the Trust.
9. VACANCIES:
Any vacancy among the Members of the Board of Trustees may be filled by the trustees as specified in Para (4) above or their successors and they shall hold office for such duration as may be specified by the Board of Trustees.
10. TERMINATION OF OFFICE OF THE TRUSTEES:
(a) Trustee shall cease to hold office:
i) if he /she dies,
ii) if he /she resigns,
iii) if he /she is adjudged insolvent or found guilty of an offence involving moral turpitude.
iv) if he /she is found to have acted against the interest of the Trust.
v) if it is unanimously decided by the Trustees specified in Para (4) above that his continuation in the Office is against the interest of the Trust.
vi) upon expiry of the period up to which the Board of trustees have nominated the trustee.
11. MEETING AND PROCEEDINGS OF THE TRUSTEES:
The Trustees shall ordinarily meet once in 3 months or as often as may be necessary for the satisfactory conduct of the affairs of the Trust.
12. NOTICE:
15 days Notice shall ordinarily be given in writing for a meeting of Board of Trustees.
13. QUORUM:
The Quorum for the Meeting of the Board of Trustees shall be two third numbers. A minute book shall be kept by the Managing Trustee. Minutes of entry into the office of every new trustee and of all proceedings of the meeting of the board of trustee shall be entered in the minute book and shall be signed by the President of the Meeting.
14. VOTING:
Decisions of the Board of Trustees may be made at a meeting or by circulation of papers to them. Normal matters of routine nature may be circulated and decision obtained. The important matters are to be decided at the meeting. All matters arising for disposal shall be decided by a majority of the Board of Trustees present at the Meeting. The President of the Board of Trustees shall have a casting vote in the event of equality of votes, in addition to his own.
15. POWERS, FUNCTIONS AND DUTIES OF THE TRUSTEES:
(a) All property of the Trust, movable or immovable or of any other kind, shall vest in trust, the trustees shall manage the whole property and affairs of the trust and shall have all powers, duties and functions necessary proper and incidental to the promotion and carrying out of the objects of the trust.
(b) In particular and without prejudice to the generality of the foregoing the trustees shall for the purposes of this trust have the following powers, duties and functions:
(i) To acquire by gift, grant, purchase, exchange, lease, or otherwise, lands, buildings, or other immovable properties and also any movable property.
(ii) To construct and maintain buildings, to alter, to demolish or improve them and equip them suitably.
(iii) To accept gifts, donations, endowment and contributions for the Trust and shall be treated as the income of the Trust.
(iv) (a) To raise loans, to receive money, securities or other movable property on behalf of the Trust.
(b) To accept any trust, trust fund or endowment so long as the provisions of such Trust or Endowments are in accordance with the objects of this Trust.
(v) To award scholarship and make donations calculated to promote the objects of the Trust.
(vi) (a) To enter into contracts, or engagements on behalf of the Trust.
(b) To consider such proposals submitted by Sub –committee appointed by this trust and allocate such funds if necessary as deemed necessary for the implementation of the programs.
(vii) To make, sign and execute all such documents instruments, as may be necessary or proper for carrying on the management of the properties and affairs of the Trust.
(viii) To invest such money and such funds of the Trust in various investments as and when it may seem necessary or proper provided that such investments shall be made only upon immovable properties or upon securities as the board of trustee may deem fit, under section 20 of the Indian Trust Act, 1882.
(ix) To transfer or otherwise dispose of any immovable property of the trust provided all the trustees unanimously resolve that it is in the interest of the trust to do so to lease, mortgage or otherwise dispose of any movable and immovable properties of the Trust.
(x) To appoint Committee/Committees of management for such terms and with such powers as may be specified from time to time, for carrying on the routine management of the affairs of the Trust.
(xi) To appoint such employees on such terms and conditions as the Trustees may deem fit for carrying out the work of the trust and exercise control of all such employees including the power of suspension, dismissal and removal.
(xii) To delegate to the Managing Trustee or any appointed committee such powers, duties and functions as are vested in the Trustees.
(xiii) To frame Bye-Laws and such other regulations as are required for achieving its objectives.
(xiv) Out of the income of the trust property the trustee shall be entitled to spend or incur the following expenses namely
(a) All rates, taxes, cess, assessments, dues and duties if any payable to the government to
any municipal or other public bodies in respect thereof or any part thereof.
(b) The premium for the insurance of the buildings or any other insurable property movable
or immovable for the time being forming part of the trust property.
(c) The costs of ordinary repairs and for providing any amenities to the buildings for
the time being forming part of the trust property.
(d) The cost of making such additions/alterations or improvements to or in the buildings
forming part of the trust property, as the trustees shall think fit.
(e) Wages and salaries of any manager, supervisor, accountant, clerk, servant or other
employees employed by the trustees in the carrying out of this trust.
(f) Cost and expenses of keeping the trust property in good condition.
(g) Cost and expenses for installing and renovating the electrical and other installations in
the building for the time being forming part of the trust property.
(h) The architect’s fee and legal charges and fee payable to other professionals
engaged in the course of administration of the trust.
(i) All other costs, charges and expenses of and incidental to the management and administration of the trust property in accordance with the objects and purposes hereof or which may be incidental thereto. After deducting the costs charges and expenses incurred by the trustee’s as aforesaid out of the total gross income received by them from the trust property the balance that is the net income will be utilized for the objects of the trust as decided by the board of trustees.
16. BANK ACCOUNT:
To open any type of bank account (s) weather saving account, current account, fixed or otherwise, in the name of the Trust or institution (s) or programme (s) run by the Trust with any scheduled bank (s) or post office (s) or private bank (s) and to operate by the authorized signatory or signatories as Board of Trustees shall think fit and proper. Unless and until determined otherwise such bank account(s) shall be opened and operated jointly with signatures of any two members of Board of Trustees. The financial year for the Trust shall be from 1st April to 31st March and the accounts of Trust or institution (s) or programme (s) run by the Trust shall be audited yearly by the auditors b(s) or charted accountant or a firm of charted accountants to be appointed by the Board of Trustees and the fee for auditor(s), if paid, shall be a part of outgoing amounts from the Trust Funds.
17. APPLICATION OF THE PROPERTIES OF THE TRUST:
The properties and funds of the Trust shall be applied only for the purpose of the Trust and for the due administration of its business affairs and properties provided however that this shall not preclude payment of any remuneration or allowance or giving of residential accommodation or any perquisites to any trustee in connection with the work carried out by him/her for the purpose of the Trust.
18. ACCOUNTS:
The Trustees shall maintain a true and correct record of the receipts, payments incomes and expenses and transactions of the Trust. The Books of Account of the trust shall be audited by a qualified auditor or a Chartered Accountant every year i.e., commencing from 1st April to the 31st March of next year.
19. DEFECTS OF PROCEDURE IMMATERIAL:
No act of Trustees shall be invalidated by reason only of any vacancy in the Board of Trustees or any irregularity in the proceedings of the Board of Trustees or any Committee thereof.
20. AMENDMENTS:
No amendments to the Trust Deed shall be made which may prove to be repugnant to the provisions of Section 2(15), 11, 12 and 13 and 80G of the Income Tax Act, 1961 as amended from time to time.
21. DISSOLUTION:
In the event of dissolution of winding up of the Trust the assets of the trust remaining on the date of dissolution shall under no circumstance be distributed among the Trustees, but the same shall transferred to other Trust, Society, Association or Institution whose objects are similar to those of this Trust.
